I want to make sure there is no "catch" in how I am interpreting Adobe's
    current pricing structure.

If I preorder the upgrade to Premiere Pro CS3 it is $299

If I upgrade my current Premiere Pro7/1.0 to v. 2 it costs $199, and if done
before August 28 there is a free upgrade to Premiere Pro CS3 when it is
    released.

The wording says: " Customers who purchase a Universal English,
International English, French, French Canadian, German, Japanese, Spanish,
or Italian Language version of Adobe Premiere Pro 2.0 between March 27, 2007
and August 28, 2007 are eligible to apply for a free post-announce upgrade
    to Adobe Premiere Pro CS3.
.. Dated proof of purchase and serial number for Adobe Premiere Pro 2.0 are
    required.
    .. This offer expires September 12, 2007.
.. Please contact Adobe Customer Service at 1-800-833-6687 and select option
#1 this summer to request your upgrade.
    .. Shipping charges will apply.
.. View Program Summary for more details.

The program summary says, "The program applies to shrinkwrapped and licensed
(with maintenance) products. Both full and upgrade versions are eligible.
Tryout, Beta, NFR, and OEM (bundled) versions are not eligible." (I am not
    sure what NFR means)

Questions - If I buy the upgrade to v. 2 and choose download as the delivery
option rather than ship it to me, does that screw up the "shrinkwrapped and
licensed (with maintenance)" aspect? What exactly do they mean by "with
maintenance"? Why would anyone on less than v.2 choose the $299 option?

I would sure like to upgrade to CS3 at the $199 price but don't want to get
    caught by a technicality.

I just looked at the offer. It appears to work as you've described. From a
PDF info sheet at the site:

    If Customer buys . . . Adobe Premiere Pro 2.0 . . . Adobe Premiere Pro CS3 .
    .. . Complimentary

You have to "claim" the upgrade by calling 1 800 833 6687 by September 12,
2007. The "shrinkwrapped and licensed" qualifier appears to exclude
"tryout, beta, nfr and oem versions."

This sounds like a great deal: Get a CS3 upgrade for $100 less. I'm going
    to try it.

It usually means "Not for resale", as in a reviewer's copy.
